Welcome to www.igshop.com.my (“Website”). These Terms and Conditions govern your access to the Website and your purchase or use of our e-commerce website development, training, support, and related services (“Services”).

By accessing the Website, accepting our quotation, making payment, or using our Services, you confirm that you have read, understood, and agreed to these Terms and Conditions.

1. Company Information

RZ CREATIVELY DESIGNED trades through the IG Shop brand and Website. References to “IG Shop,” “we,” “us,” or “our” mean RZ CREATIVELY DESIGNED.

2. Our Services

We specialise in developing e-commerce websites and providing training and support relating to the operation and management of those websites.

Depending on the selected package and accepted quotation, our Services may include:

– Personalised and responsive e-commerce website design;
– Product, category, landing-page, and information-page functionality;
– Shopping cart and checkout functionality;
– Customer, agent, dropship, or stockist features;
– Payment-gateway and shipping-method integration;
– Marketplace, fulfilment, courier, or point-of-sale integration;
– Marketing, analytics, social-media, and communication integrations;
– Initial content and product data entry;
– Website-administration training;
– Technical troubleshooting and support; and
– Other features expressly stated in the accepted quotation.

Features vary between packages. Only the features, deliverables, integrations, and services expressly included in the accepted quotation or written agreement form part of the project.

We may update, replace, or discontinue packages and features offered on the Website. Such changes will not alter an already accepted quotation unless agreed in writing.

3. Quotations and Project Scope

A quotation is considered accepted when the client confirms acceptance in writing, signs the quotation or agreement, or makes the required payment.

The accepted quotation, together with these Terms and Conditions, forms the agreement between the client and IG Shop. If there is a conflict, the following order of priority applies:

1. A signed project agreement;
2. The accepted quotation;
3. These Terms and Conditions; and
4. General information published on the Website.

Any feature, function, integration, design change, data entry, content creation, or other work not stated in the accepted quotation is outside the project scope and may incur additional charges.

Requests to modify the website’s approved layout or features after design or development has been completed may be treated as additional work.

4. Payment

Unless otherwise stated in the accepted quotation:

– Full payment is required before development begins;
– Payments may be made using the payment methods approved by us;
– Prices may change before a quotation is accepted;
– An accepted quotation will remain subject to its stated validity period;
– Additional work must be paid for separately;
– Third-party fees are not included unless expressly stated; and
– Any instalment arrangement must be approved by us in writing.

The client is responsible for all third-party charges, including domain registration, hosting, payment-gateway charges, courier subscriptions, marketplace fees, premium extensions, software licences, and renewal fees unless the quotation expressly states otherwise.

We may suspend work or withhold delivery, access, training, or support while an invoice remains overdue.

5. Project Schedule and Delivery

The usual website-development period is approximately two to three weeks, commencing after:

– Full payment or the agreed initial payment has been received;
– The website layout and project requirements have been confirmed; and
– The client has supplied all required content, images, product information, account credentials, and approvals.

This period is an estimate and not a guaranteed completion date. The schedule may be extended due to:

– Delayed content, feedback, approvals, or access from the client;
– Additional features or changes requested by the client;
– The complexity of integrations or custom functions;
– Third-party approval or configuration requirements;
– Technical issues outside our reasonable control; or
– Unusually high project volume.

Unless otherwise stated in the quotation, the standard development process may include:

1. Landing-page design;
2. Website development;
3. Initial content and data entry;
4. Testing; and
5. Handover and training.

Our standard initial data-entry scope includes only the quantity specified in the accepted quotation. Where the standard package scope applies, this normally includes:

– Categories supplied by the client;
– Up to five products;
– Standard information pages based on text supplied by the client; and
– Images supplied by the client for the initial products, banners, and slideshow.

The client will be trained to add further products, categories, pages, images, and other content.

6. Client Responsibilities

The client agrees to:

– Provide complete, accurate, and timely instructions;
– Supply all required text, product details, pricing, policies, images, logos, and other materials;
– Ensure supplied materials are of suitable quality and format;
– Review work and provide feedback or approval promptly;
– Maintain accurate product, stock, pricing, shipping, tax, and payment information;
– Keep login credentials secure;
– Maintain appropriate backups after handover;
– Comply with all laws applicable to the client’s products, services, marketing, and business activities; and
– Obtain all necessary licences, permissions, and consents for materials supplied to us.

The client warrants that it owns or has permission to use all content, photographs, trademarks, personal data, and other materials supplied to IG Shop.

IG Shop is not responsible for delays, errors, losses, legal claims, or additional costs caused by incomplete, inaccurate, late, or unauthorised materials supplied by the client.

7. Revisions and Additional Work

Reasonable revisions within the approved scope may be carried out during development.

Additional fees may apply where the client:

– Changes the approved design direction;
– Requests revisions after a phase has been approved or completed;
– Requests features not included in the selected package;
– Requires additional product or content entry;
– Requests custom programming or third-party integration;
– Changes the project requirements after work has started; or
– Requires repairs following changes to website code, layout, extensions, or settings made by the client or another provider.

We will inform the client when a request is outside the agreed scope. Where appropriate, additional work will begin only after the client approves the applicable fee.

8. Training

Where included in the selected package, training is intended to teach the client how to operate and manage the completed website.

Unless otherwise stated in the accepted quotation, the training allocation consists of:

– Up to 10 training sessions;
– Up to one hour per session; and
– A total allocation of up to 10 hours.

Training may cover website administration, categories, products, options, pages, menus, landing pages, promotions, customers, orders, shipping, payment methods, reporting, and other functions included in the client’s website.

Later sessions may be used to repeat earlier topics or train replacement staff, subject to the available training allocation and scheduling.

Training is normally provided online or at our designated location unless the quotation states otherwise. Training at the client’s premises is not included and may incur additional charges.

A digital website manual may also be supplied for reference. Training does not include teaching the client to edit the website’s underlying source code unless expressly agreed.

9. Free Support

Unless the accepted quotation expressly provides a different support period, eligible website packages include one year of free support beginning from the date the completed website is handed over or made live.

Free support may include:

– Diagnosing and troubleshooting website technical problems;
– Helping the client correct configuration errors made through the administration dashboard;
– Assisting with the proper use of existing website features;
– Removing incorrectly sized or uploaded images from the server;
– Integrating supported payment, communication, or shipping accounts;
– Configuring a new shipping method, excluding entry of the client’s rates;
– Assisting the client in communicating with its hosting provider; and
– Reasonable guidance concerning the administration of the website.

Support is subject to reasonable use, staff availability, appointment scheduling, and the continued technical compatibility of the website and relevant third-party services.

Free support does not include:

– Creating or editing images, banners, advertisements, or other marketing materials;
– Entering or updating products, categories, options, pages, customer details, orders, promotions, or shipping rates on the client’s behalf;
– Managing newsletters, advertisements, social-media campaigns, or remarketing codes;
– Creating new email accounts;
– Renewing domains, hosting, licences, or third-party subscriptions;
– Recovering data deleted by the client where no suitable backup exists;
– Training at the client’s premises;
– Installing software or device drivers on the client’s equipment;
– Redesigning or changing the website layout;
– Developing new features;
– Teaching or modifying the website’s underlying source code;
– Repairing damage caused by unauthorised coding, layout, extension, server, or database changes; or
– Work made necessary by the client or another service provider modifying the website.

Services outside the free-support scope may be quoted separately.

10. Domain, Hosting and Renewals

Domains, hosting accounts, software licences, payment gateways, and other third-party services may have recurring fees.

IG Shop does not automatically renew these services unless the accepted quotation expressly includes managed renewal. The client must monitor renewal notices, confirm renewal, and pay the relevant provider or IG Shop before the expiry date.

Failure to renew may result in website suspension, loss of email service, loss of data, domain expiry, or permanent deletion of the website or database.

We are not responsible for downtime, delays, security incidents, data loss, or service interruption caused by hosting providers, internet service providers, domain registrars, payment gateways, courier providers, marketplaces, or other third parties.

If a hosting provider permanently removes the website or database following expiry or non-payment, redevelopment or restoration is not included in free support.

11. Third-Party Services and Integrations

The website may connect with third-party services such as payment gateways, courier providers, marketplaces, analytics services, social-media platforms, fulfilment systems, point-of-sale systems, and communication tools.

The client is responsible for:

– Applying for and maintaining the required third-party accounts;
– Meeting each provider’s eligibility and verification requirements;
– Paying third-party fees;
– Supplying accurate account credentials and configuration information; and
– Complying with each provider’s terms and policies.

We do not control and cannot guarantee the approval, availability, performance, security, accuracy, or continued compatibility of a third-party service.

Changes made by a third-party provider may require additional development or configuration, which may be chargeable.

12. Intellectual Property

IG Shop retains ownership of its pre-existing materials, development methods, templates, reusable code, tools, processes, training materials, manuals, and know-how.

Upon full payment, the client may use the completed website and client-specific deliverables for the client’s own business purposes, subject to:

– Any third-party software, theme, extension, font, image, or licence terms;
– Any restrictions stated in the accepted quotation; and
– IG Shop’s continuing ownership of its reusable or pre-existing materials.

The client retains ownership of original content and branding supplied by the client.

Training materials and manuals are supplied for the client’s internal use only. They may not be resold, redistributed, published, recorded, reproduced for commercial use, or used to train unrelated third parties without our written permission.

13. Cancellation and Refunds

Except where required by applicable law, payments are non-refundable once the client has accepted the quotation and paid for a website package or other Service.

A change of mind, business closure, delay in supplying content, failure to use the website, failure to attend training, rejection by a third-party provider, or termination by the client does not entitle the client to a refund.

Where IG Shop terminates or suspends Services because the client has breached these Terms, failed to pay an amount due, supplied unlawful content, or misused the Services, amounts already paid will not be refunded except where required by law.

Nothing in this section excludes any right or remedy that cannot lawfully be excluded.

14. Suspension and Termination

We may suspend or terminate Services where the client:

– Fails to make payment when due;
– Uses the website for an unlawful, fraudulent, abusive, or prohibited purpose;
– Infringes intellectual-property or privacy rights;
– Introduces malicious code or creates a security risk;
– Breaches these Terms or a third-party provider’s terms; or
– Fails to provide information reasonably required to continue the project.

Where reasonably possible, we will notify the client and allow an opportunity to remedy the breach.

We are not responsible for losses caused by a lawful suspension or termination resulting from the client’s breach.

15. Disclaimer and Business Results

Our Services are provided with reasonable care and skill. However, we do not guarantee:

– Any particular sales, revenue, traffic, ranking, conversion, or business result;
– Uninterrupted or error-free website operation;
– Approval by any payment gateway, marketplace, courier, or other provider;
– Permanent compatibility with third-party services;
– Protection from every security threat; or
– That every feature will remain available indefinitely.

The client remains responsible for its business decisions, product quality, fulfilment, customer service, legal compliance, advertising, taxation, privacy notices, delivery practices, and refund or return policies.

16. Limitation of Liability

To the maximum extent permitted by law, IG Shop will not be liable for indirect, incidental, special, punitive, or consequential losses, including loss of profit, revenue, business opportunity, goodwill, anticipated savings, or data.

Our total liability arising from a particular Service will not exceed the amount paid to us for the affected Service.

We are not liable for losses caused by:

– Client error or unauthorised changes;
– Inaccurate content or instructions supplied by the client;
– Failure to maintain backups;
– Expired domains, hosting, licences, or subscriptions;
– Third-party platforms or service providers;
– Cyberattacks or events beyond our reasonable control; or
– The client’s failure to comply with applicable laws.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.

17. Personal Data and Privacy

Personal data will be collected, used, stored, and disclosed for purposes connected with enquiries, quotations, project delivery, payment, training, support, account administration, legal compliance, and business communication.

The client must ensure it has the necessary authority and consent before providing us with personal data belonging to employees, customers, suppliers, or other individuals.

The client is responsible for ensuring that its completed website has suitable privacy, cookie, marketing-consent, and data-protection notices for its business activities.

18. Confidentiality

Each party must keep confidential any non-public business, technical, commercial, customer, login, or project information received from the other party.

Confidential information may be used only for the project and may be disclosed where required by law or to personnel and service providers who need the information to perform the Services.

19. Changes to These Terms

We may update these Terms from time to time by publishing the revised version on the Website.

Changes will apply from the stated effective date. Terms applicable to an existing project will not be materially changed retrospectively unless required by law or agreed by the client.

Continued use of the Website or Services after the effective date constitutes acceptance of the revised Terms.

20. Governing Law

These Terms are governed by the laws of Malaysia.

The parties will first attempt to resolve any dispute through good-faith discussion. If a resolution cannot be reached, the dispute will be subject to the jurisdiction of the courts of Malaysia.

21. General Provisions

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in effect.

A failure or delay in enforcing a right does not waive that right.

The client may not transfer its rights or obligations under the project without our written consent. We may engage employees, contractors, hosting providers, or specialist service providers to assist in delivering the Services.
